How long does it take to get a Spanish subsidiary fully operational?

Allow six to twelve weeks as a provisional planning window for getting an ordinary foreign-owned Spanish subsidiary operational. Validate that estimate against your documents and intended activity before committing to a hire or customer date. Here, the clock starts when the parent authorises the project and document review begins. It ends when the company can perform the activities agreed for launch, including the necessary payments. An unresolved bank review, foreign document or activity-specific registration can extend the schedule beyond that window.

This is a planning allowance, not a statutory timetable or a guaranteed turnaround. A company that already has accepted documents and completed registrations needs a plan for the remaining work; it does not automatically need another six to twelve weeks. A quote measured from receipt of a complete file also starts later than HQ’s decision to expand.

Separate readiness checks for the first transaction, first working day, payments and first reporting cycle. Four readiness dates, not one 01 First transaction Census, VAT treatmentand any permissions 02 First working day Employer and employeeregistrations, terms 03 First payment Funding, signatoriesand limits tested 04 First close Follows activity:books reconciled Not one of the dates Registration — gives the company legal personality; it readies none of the four.
Agree which activities must be ready together. The first reporting cycle follows actual transactions; its completion need not coincide with the first working day.

This guide assumes a Spanish limited company, an SL, owned by a foreign parent, under the common state tax regime with VAT activity in mainland Spain or the Balearic Islands. Special tax territories, regulated activities and immigration cases need an adapted plan. Check whether the investment requires prior authorisation before using an ordinary setup schedule; ICEX distinguishes that requirement from subsequent investment reporting.

What does fully operational mean for your launch?

Define it by the work the subsidiary must be able to do. A registered entity, a team starting work and a company collecting customer payments represent different milestones. Putting all of them under one “company setup complete” date hides the dependencies you need to manage.

Registration gives the company the legal personality of the chosen corporate form. It does not establish that the bank’s payment controls or employment setup are ready. Companies Act, Article 33.

MilestoneWhat to confirm before relying on the dateEvidence for the launch review
Corporate formationDeed, registry position and tax identification appropriate to the stageCorporate documents, registration and NIF records
First transactionCensus position, transaction-specific VAT treatment, invoice requirements and any applicable permissionsFiling confirmations and review of the proposed transaction
First working dayEmployer and employee registrations, local terms and required workplace arrangementsRegistration confirmations and completed employment preparation
First paymentFunding, authorised signatories, access and limits for the intended paymentTested approval route and treasury confirmation
First reporting cycleOpening transactions, reconciliations and parent reportingFirst close delivered and outstanding items explained

This is a management acceptance framework. It does not replace the legal checks for the particular activity. Set a date for each relevant row and identify which ones must coincide. If the first sale is later than the first hire, the two dates may have different prerequisites.

For the earlier document and formation sequence, use the company setup timeline. The decision here is whether the remaining work supports the activities you have promised to start.

What can run in parallel before the company is registered?

Document preparation, bank discussions, employment planning and accounting design can overlap. Completing applications still depends on having the evidence each institution requires.

For a non-resident corporate shareholder, ICEX describes a Spanish NIF application through Modelo 036 and supporting evidence of the foreign company’s existence. Confirm the required legalisation, translation and representation for your documents before commissioning them. A parent-company NIF and an individual’s NIE are separate identification tasks. ICEX setup procedure.

Preparation can overlap. Each workstream still needs its own accepted documents, approvals or registrations; the diagram gives no processing-time promise.

The parent can shorten avoidable waits by settling the actual activity, ownership chain, directors and first job early. A late change to the signatory or working arrangement can reopen work already prepared around a different assumption. Ask each provider what it needs to accept the file, as well as what it needs to start reviewing it.

Which unfinished task actually moves your launch date?

The earliest combined launch date is the latest readiness date among the prerequisites that launch requires. Work out the dependency chain within each workstream first. Adding every task’s duration together overstates the time when tasks overlap; taking the longest standalone task understates it when other tasks must follow it.

Consider this illustrative scheduling model, with all dates measured from the same project start. Assume corporate and other applicable prerequisites are satisfied within the dates shown, and that HQ wants transaction, employment and payment readiness together.

Required workstreamInitial readiness assumptionIf banking slips
First-transaction tax readinessWeek 6Week 6
Employment readinessWeek 7Week 7
Payments readyWeek 8Week 10
Earliest combined launchWeek 8Week 10

These are invented inputs to explain the calculation, not estimates of Spanish authority or bank processing. Bringing tax readiness forward from week 6 to week 5 would not change either combined date. Resolving the payment dependency would.

In an illustrative schedule, readiness at weeks six, seven and eight gives a combined launch at week eight; a payment delay to week ten moves that launch to week ten. Illustrative weeks from project start · invented inputs Initial readiness If banking slips two weeks Tax readiness Week 6 First-transaction tax readiness; unchanged by the slip Employment Week 7 Employment readiness; unchanged by the slip Payments Week 8 → 10 Payments ready at week 8, or week 10 if banking slips Combined launch Week 8 → 10 The latest required dependency sets the date
The example assumes all three workstreams are required together. A separate hire or transaction date must be assessed against its own prerequisites.

Banking deserves a specific completion test. Spanish anti-money-laundering law requires customer and beneficial-owner checks and an understanding of the business relationship. The bank applies its own acceptance process; a signed deed does not complete it. Law 10/2010, Articles 3–7.

There is a limited formation option worth separating from payment readiness. For an SL, Article 62.2 allows founders to declare joint liability for the reality of cash contributions instead of providing the ordinary evidence of those contributions. Have the formation lawyer assess that route. It can address a formation dependency while leaving the operating payment arrangements unresolved. Companies Act, Article 62.

Once a bank account is available, treasury should test the access, signatories and limits needed for the intended payments. An account number alone does not show that the parent’s approver can release the first salary or supplier payment.

When can the Spanish subsidiary issue its first invoice?

A first invoice may be possible before every setup task is complete, but the answer depends on the company’s stage and the transaction. Tax identification, census registration, corporate authority and applicable permissions need to be considered together.

AEAT requires the census registration before activity, operations or the relevant withholding obligation begins. Its NIF guidance expressly provides for provisional as well as definitive tax identification. Confirm what has been filed and what activity it covers, including preparatory purchases. AEAT census timing and NIF guidance.

If trading is proposed before registry completion, have the formation lawyer confirm authority and responsibility for acts of the company in formation. A provisional NIF alone does not settle those questions. Companies Act, Articles 36–38.

Give the tax adviser the proposed invoice and underlying transaction: what is supplied, by whom, to which customer and in which countries. That lets the review address the actual VAT treatment and registration requirements rather than assuming the parent’s invoice template works unchanged.

For applicable cross-border operations, registration in the ROI, the Register of Intra-Community Operators, is a separate task. A Spanish domestic NIF does not establish that registration. AEAT states that if an application has not been resolved within three months, the requested number may be treated as denied. That period is not a normal completion estimate or automatic approval. AEAT ROI and VIES guidance.

If an EU transaction needs that registration, give it its own dependency and date. A pending ROI application does not, by itself, answer whether a different domestic transaction or an employee start can proceed. Assess those activities separately.

When can your first employee start work?

The subsidiary must complete the applicable employment prerequisites before work begins. The monthly payroll date is a separate event and provides no extra time for pre-start registration.

A first-time employer must register with TGSS before commencing the employment activity, and the employee’s alta must precede the start of work. Holding a personal Social Security number does not replace registration of the employment. TGSS employer registration and employee alta guidance.

Review terms during formation, using the actual role and location. An applicable collective agreement binds employers and workers within its scope. Prevention training must be suitable for the job and provided at hiring. These requirements explain why a payroll calculation alone cannot establish readiness for the first working day. Workers’ Statute, Article 82 and Prevention Law, Article 19.

The first-employee guide covers the wider terms, workplace and cost review. For this launch decision, keep the proposed start conditional on completing the required preparation, and agree payroll inputs, approval and funding before the first payment falls due.

What must the formation-to-operations handover complete?

The handover should show which work is complete and who takes responsibility for the next required action. Ask the formation provider for the deed, registry position, NIF records and confirmations of the filings within its engagement. Compare that delivery with the operating scope rather than assuming either provider has already done the other’s work.

Electronic access belongs in that handover. Spanish legal persons must interact electronically with public administrations. Agree who can submit filings and who can access and act on official notices. Law 39/2015, Article 14.

Check each procedure’s access route before treating the company’s own certificate as a universal blocker. For example, AEAT permits an appropriately authorised third party to submit the definitive NIF application when the declarant lacks a certificate. That filing authority should not be assumed to cover every notification or procedure. AEAT definitive NIF access guidance.

Give the first accounting close a separate acceptance date. HQ needs to see that opening transactions, payments and payroll reach the books and that differences are explained. This test follows activity, while any earlier legal deadline still takes priority. The first 90 days of a Spanish subsidiary covers that continuing operating cycle.

Agree the scope and dates before kickoff

A proposal should let HQ distinguish work it can authorise now from a date still awaiting an external decision. Before accepting it, settle these points:

  • The starting state: documents accepted, registrations completed and work still outstanding.
  • The activities covered by launch, with separate dates where hiring, invoicing and payments differ.
  • The parent’s inputs and approvals, including who supplies them and when.
  • The external dependencies, the effect of a delay and when the schedule will be reassessed.
  • The handover into recurring work, including what stays with HQ and what requires another specialist.

Evolutia’s Spain Landing service is the relevant implementation route for this discussion. Where HQ keeps the books, Tax & Employment covers the agreed tax and employment scope, administrative custody and basic parent reporting, with read-only access to the figures; it excludes bookkeeping. Full Subsidiary adds bookkeeping and annual accounts where there is no local finance function. Work inside the group ERP and separately scoped projects need explicit agreement. Chargeable work starts only after a written price is accepted.

Send your intended first working day and first transaction date, the parent’s country, and a short account of what formation work is already complete. Request a Spain Landing proposal against your launch dates so the scope, remaining dependencies and kickoff can be agreed around the operation you intend to start.
