How to change accountants in Spain without disrupting your business
To change accountants in Spain while keeping your subsidiary running, agree which firm completes each outstanding task, transfer records the incoming firm can reconcile, and verify its authority before it takes over filings or official notices. A mid-year move can be planned around those conditions. For an overseas parent worried about missed payroll or another disrupted group close, the decision is whether the new firm can complete the next cycle with the information and access available.
In this guide:
- Define what the new accountant will take over
- Choose a handover date around unfinished work
- Request records that make the next cycle possible
- Check AEAT and Social Security access separately
- Protect payroll and the first group close
- Deal with missing records and switching costs
- Decide whether to proceed or review first
Define what the new accountant will take over
“Our accountant handles Spain” can conceal several different jobs. Bookkeeping, tax returns, payroll, employment advice, annual accounts and reporting to HQ need their own agreed scope. Official notifications also need an explicit arrangement. Moving the tax engagement alone does not establish who will handle the other work.
Start with the problem the change should solve. If HQ keeps rebuilding the Spanish management reports, specify the reporting pack, account mapping and delivery date in the new agreement. Otherwise you could change firms and retain the same work at the parent. The signs a subsidiary has outgrown its accountant help separate a larger job from poor performance on the existing one.
Where the parent maintains the books in its own system, agree how the incoming firm receives data and how local adjustments feed back into that system. Where the subsidiary has no finance function, the engagement needs someone to maintain the books. A payroll-only switch can leave accounting with the incumbent, provided payroll journals, withholding information and year-end outputs still reach the people who need them.
Before serving notice, check the existing engagement for termination conditions, notice, unfinished work and any agreed export charges. Ask the incoming firm to confirm its acceptance conditions and exclusions. Then notify the outgoing firm in writing, authorise direct coordination and agree the final tasks. There is no reliable notice period to assume without reading your contract.
If the reason for leaving is an unexplained balance or possible filing error, establish what is known before treating it as a confirmed failure. A review of the evidence behind your Spanish advisor’s work can help frame that conversation.
Choose a handover date around unfinished work
A quarter-end can simplify the split between accounting periods. It does not settle who files the return for the quarter that has just ended. The same issue arises at year-end: closing entries and annual work may continue after the new engagement starts.
Choose a date by working back from your next payroll, applicable filing deadlines and group reporting commitments. Record the relevant period and the execution date separately. For each live task, agree who prepares it, who submits it, who approves it and who arranges any payment. Confirm the actual filing and payment windows for your company; they are not interchangeable.
Consider this illustrative allocation, with the incoming firm starting current-period work on 1 October. It assumes the outgoing firm agrees to finish specified third-quarter work and retains the authority needed to do so. It is not a filing calendar or an Evolutia service promise.
| Work crossing the handover | Outgoing firm | Incoming firm | Parent or subsidiary |
|---|---|---|---|
| Books through 30 September | Delivers the agreed close and explains later adjustments | Reconciles the opening position before relying on it | Supplies missing inputs and resolves business queries |
| Applicable third-quarter returns filed after the cut-off | Prepares and submits the specifically agreed returns | Receives the filed versions, receipts and relevant workings | Approves figures and arranges payment where required |
| October payroll | Supplies prior payroll data and outstanding changes | Prepares and submits the agreed work after data and access checks | Confirms changes, approves payroll and releases funds |
| Notices already received | Hands over the notice, status and action history | Accepts each transferred response task explicitly | Makes decisions or supplies information when needed |
| Annual work still outstanding | Delivers the agreed records and any retained tasks | Accepts only the annual tasks listed in its engagement | Retains company approvals and supplies group inputs |
You can allocate the third-quarter returns to the incoming firm instead. That firm then needs sufficient records, time and authority to accept the job. “You start in October” is too vague to determine responsibility for a return relating to September.
A clean file is often planned over two to six weeks, but no range holds universally; how long a switch takes sets out what moves it. A prepared data export and working authorisations support a different timetable from unreconciled books and inaccessible records. Ask the new firm what must be resolved before it can commit to the next live obligation. If that obligation is imminent, agree interim coverage for it while the wider handover continues.
Request records that make the next cycle possible
The incoming firm needs enough information to reproduce and explain the starting position. Request accounting exports as well as the reports generated from them. A PDF balance sheet may show a total without revealing which invoices, adjustments or intercompany items make it up.
Use the following as a discussion guide, adapting the periods and detail to the work being transferred. It is not a statutory document list or a complete historical audit.
| Work being transferred | Records to request | What the receiving firm should establish |
|---|---|---|
| Accounting and parent reporting | Dated trial balance, journals and general ledger; account mapping; bank and intercompany reconciliations; open balances and relevant asset schedules | The opening figures agree to the accepted close, with differences explained |
| Tax compliance | Registered obligations; filed returns and receipts; supporting calculations; payment, refund or deferral status; open enquiries | Which periods are complete, which tasks remain, and how the next return connects to the books |
| Payroll and employment work | Current employee data and terms; pay items; year-to-date figures; approved changes; recent payroll and Social Security records | The next calculation can continue from the previous one, with changes identified |
| Annual and corporate work | Relevant annual accounts and deposit evidence; books and resolutions; status of work still in progress | Who completes the remaining tasks and what company approvals are needed |
| Official notices and open matters | Full notices, access dates, action taken, correspondence and next deadlines | Each unresolved matter has an accepted response task and sufficient context |
Keep a dated record of the version accepted. If the outgoing firm posts a late invoice or closing adjustment after exporting the ledger, that change must reach the incoming firm and HQ. Otherwise both can hold internally consistent reports that start from different numbers.
Agree a secure transfer method and limit employee and financial records to the people handling the transition. Retain a company-controlled copy that remains readable after the old software subscription ends. Archive access, export format and the ability to open the files belong in the handover agreement.
Check AEAT and Social Security access separately
Treat the signed engagement, electronic authority and access to records as separate prerequisites. One does not establish the others.
Verify the powers needed for tax work
The Agencia Tributaria allows an authorised representative to carry out enabled procedures using its own electronic certificate. Its power-of-attorney system distinguishes scopes, including receipt of notifications. Confirm the powers needed for the agreed work and test the relevant access; do not infer notification coverage from a history of successful tax submissions. See the AEAT’s guidance on granting powers and their scope.
Record who controls any company representative certificate, its validity and recovery arrangements. Avoid making an informal exchange of passwords the handover method. The chosen authority should match the work and the people authorised to perform it.
Plan removal of outgoing access around its remaining agreed tasks, then confirm that removal occurred. For AEAT powers, revocation takes effect when it is reliably communicated to the authority, according to the AEAT’s revocation guidance. A termination email to the accountant does not itself complete that procedure.
Keep official notifications covered throughout
Under Articles 41.6 and 43 of Law 39/2015, mandatory or expressly chosen electronic notifications are deemed rejected after ten calendar days without access. Failure of a courtesy email or device alert does not invalidate the notification. The ten-day rule concerns access; the time allowed to respond depends on the notice and procedure.
During the switch, confirm who monitors each relevant channel, including AEAT or DEHú as applicable, and who covers an absence. Handover must include notices already accessed but still awaiting action. Successful access by the new firm does not show that it knows about an unanswered notice opened by the old one.
Confirm the payroll provider’s RED arrangements
If payroll and Social Security work are moving, check the employer contribution account, or CCC, assignment to the appropriate RED authorisation. Social Security describes company confirmation where the tax identifier of the authorisation differs from that of the CCC being assigned. This is a separate process from granting AEAT powers. See Social Security’s RED authorisation guidance.
Agree the transfer of pending Social Security work and who checks its outcome. A signed payroll proposal is insufficient evidence that the incoming provider can act for the employer.
Protect payroll and the first group close
For the first payroll, have the incoming firm compare its draft calculation with the last approved cycle, allowing for known changes. Differences should have an explanation before approval. Where systems change, year-to-date figures and recurring pay items deserve particular attention because the new system must continue the calculation history.
A comparison run should have one agreed live submission and payment owner. Coordination between firms can be useful; duplicate submissions or duplicate payment files create a different problem. Make clear which output is for checking and which will be used.
For accounting, reconcile the transferred trial balance to the outgoing close and the supporting schedules for material balances. Preserve the bridge to the parent’s reporting pack. If a difference reflects a group adjustment rather than a Spanish ledger entry, keep that distinction visible so the next close does not count it twice.
Agree what HQ will receive from the first cycle: the report in the required format, explanations of unresolved differences and confirmation of the agreed filings and payments. A completed first cycle demonstrates that the new arrangement works for those tasks. It does not establish that every earlier period was correct.
Deal with missing records and switching costs
If records are delayed, identify the exact missing item, period and affected obligation in writing. Establish what can be recovered from company systems, banks or authority records. A copy of a filed return may help reconstruct submission history while leaving the underlying accounting or judgement unexplained.
Let the incoming professional assess whether the missing information prevents the next task. Where the outgoing firm cannot continue and a deadline is close, arrange immediate professional attention to that obligation. Do not wait for a complete historical review before addressing a live notice or payroll problem.
If the firms dispute access or document ownership, obtain advice on the particular contract and records. Avoid assuming that every internal working paper must be handed over, or that a fee dispute provides extra time to file.
Ask for the switching costs alongside the recurring fee. The proposal should identify outgoing notice-period fees and unfinished work, incoming setup and data transfer, any overlap, and separately priced historical review or reconstruction. There is no supportable standard total without knowing the records and scope. Overlap can buy useful continuity when each firm has a defined job; ask why both fees are needed if the deliverables appear identical.
Evolutia’s review and handover process provides context for discussing the transition. Keep the takeover scope separate from inherited catch-up, and agree the price before chargeable work starts.
Decide whether to proceed or review first
The useful decision is specific to the next task. An unexplained historical item and missing current payroll data do not necessarily require the same response.
| Finding | Practical decision |
|---|---|
| Records reconcile, required access works and upcoming tasks are accepted | Agree the transfer and check the first live cycle |
| A historical question remains, but the professional confirms current work can proceed reliably | Continue the accepted tasks and commission any needed historical review separately |
| Missing data or authority prevents the next obligation being completed reliably | Hold that task’s transfer and arrange interim coverage or urgent remediation |
At Evolutia, a paid Health Check can help establish the work required where the inherited position is unclear. The free Subsidiary Control Scan is a bounded conversation to clarify knowns and unknowns; it does not test files or give a formal opinion. Where existing evidence already supports a takeover, agree the appropriate scope without adding a review that serves no purpose.
The recurring arrangement should also fit the division of work. Tax & Employment assumes an existing finance function and excludes bookkeeping. Full Subsidiary adds bookkeeping and annual accounts. Work inside the group ERP and inherited catch-up require separate scoping.
Discuss your proposed handover and whether a paid Health Check is needed. Tell Evolutia what prompted the change, your next payroll or filing deadline and which records you can already access, so the conversation can focus on what must be resolved before the new firm takes responsibility.
